Description: This course involves the study of primary and secondary securities markets under the Securities Act of 1933, the Securities Exchange Act of 1934, and related rules and regulations; the definition of a "security"; registration requirements relating to offerings; secondary distributions and the resale of restricted securities; exemptions from registration requirements; proxy solicitations; and civil liabilities to purchasers and sellers of securities.
