Description: This course will focus on issues of professional responsibility that arise frequently in transactional practice, including such topics as representation of multiple parties in business transactions, conflicts of interest resulting from lawyer’s ownership of interests in clients’ business or service on the boards of directors of clients, negotiating tactics, drafting contracts and other legal documents, conflict between duty to report versus duty of confidentiality with regard to criminal or fraudulent client conduct, and the preparation of third party opinions.
